On December 4, 2025, the Full Federal Court of Australia unanimously dismissed the Commissioner of Taxation’s appeal, upholding the earlier decision in Ierna v Commissioner of Taxation [2024] FCA 592. At the heart of the dispute was a 2016 restructure of the privately-owned City Beach group. The founders had introduced a new holding company above the City Beach Trust and executed a AU$52 million share capital reduction. This move was designed to settle Division 7A loans tied to the group’s principals. But here’s where it gets controversial: the Commissioner argued that this restructure was a clever ploy to replace taxable dividends with tax-free capital returns, triggering anti-avoidance provisions under section 45B and Part IVA of the Income Tax Assessment Act 1936.
The Court, however, saw it differently. Both the primary judge and the Full Court rejected the Commissioner’s claims, ruling that the capital return was not a substitute for dividends. Instead, they found that the primary goal of the restructure was to repay Division 7A loans while safeguarding the pre-CGT status of certain assets. The Court concluded that neither section 45B nor Part IVA applied, rendering the Commissioner’s determinations invalid. The appeals were dismissed, with costs awarded to Hicks and Ierna.
